Terms of service
These terms apply to every project we deliver under the Oldrich Works brand.
1. Who we are
Oldrich Works is operated by Evolution D Ltd. LC, a Wyoming (USA) limited liability company, Wyoming Filing ID 2019-000856373, registered under its current name LUNAcare DP Ltd. LC (“we”, “us”), 30 N Gould St Ste 3636, Sheridan, WY 82801, USA, represented by Oldřich Dvořák, Managing Member. Our company details are in the imprint. “You” means the client who orders a project.
2. Scope of a project
Each project is what we agree in writing before work starts: the deliverables, the phases, the dates and the price, as stated in our proposal, offer page or milestone description. Anything new is quoted as its own phase before we start it. The studio is led by Oldřich Dvořák and works with the help of modern technologies, including AI; every change goes through an independent review and tests before hand-over.
3. Projects through a marketplace
When you hire us through an online marketplace, its user agreement governs the accounts, payments, milestone escrow, fees and disputes. These terms add to it; where they conflict, the marketplace's terms prevail. Messages, files and payments stay in that marketplace.
4. Quotes and payment
- A quote is the price for the agreed scope and holds while the scope stays the same.
- Payment is per phase, through the marketplace's escrow: the money is held there, not paid to us, until you release it.
- For the first phase you usually see a working preview before you fund it. Later phases, and work we build directly inside your own accounts (for example your CRM, CMS, ad account or website), are funded into escrow before we start them; the phase agreement says which applies.
- You release the payment for a phase once it works as agreed.
- Prices are in the currency of the quote. Taxes and marketplace fees follow the law and the marketplace's rules.
5. Previews, approval and aftercare
- You see each phase working before you release its payment. Releasing the payment, or approving the phase in writing, is its approval.
- 3 small changes within 3 weeks after approval are included, and defects are fixed free. A defect means the delivery does not work as agreed.
6. Your materials and access
You confirm that you may let us use the materials you give us (texts, images, data, logins). We use them, and any access you grant, only for your project. You can withdraw access at any time.
7. Ownership of the work
- When a phase is paid in full, the rights to its deliverables pass to you, including the right to use, change and resell them.
- Previews and unpaid work stay ours until they are paid.
- Third-party parts (open-source libraries, fonts, stock media, platform services) keep their own licences; we name them on delivery.
- We keep our general know-how and our own tools, which are not specific to your project.
- We show your project in our portfolio only with your permission.
8. Confidentiality
We keep your business information, data and access details confidential and use them only for your project. How we handle personal data is described in our privacy notice.
9. Liability
We fix defects as described in section 5. To the extent the law allows, our total liability for a project is limited to the amount you paid for it, and we are not liable for indirect or consequential loss such as lost profit or lost data. Please keep backups of your systems and data. Nothing in these terms limits liability that the law does not allow us to limit.
10. Ending a project
Either side may end a project at any time. Phases already approved stay paid; phases not yet funded are not owed. For projects through a marketplace, its rules on ending a project apply.
11. Governing law
These terms are governed by the laws of the State of Wyoming, USA. This does not take away any protection that the mandatory law of your country gives you, nor a marketplace's own dispute process.
12. Changes to these terms
We may update these terms. A project keeps the version that was in force when we agreed it.
